Abstract

Internal auditing plays a vital role in strengthening corporate governance by enhancing internal controls, promoting accountability, improving risk management, and ensuring compliance with organizational policies and regulatory requirements. An effective internal audit function provides independent and objective assurance that organizational processes are operating efficiently while supporting the achievement of strategic objectives. the relationship between internal audit effectiveness and corporate governance by evaluating the influence of internal audit independence, professional competence, audit quality, risk assessment, and management support on governance outcomes. A quantitative research design was employed, and data were collected through structured questionnaires administered to internal auditors, audit committee members, senior managers, and corporate executives from selected organizations. Appropriate statistical techniques were used to analyze the relationship between internal audit effectiveness and corporate governance performance. an effective internal audit function significantly enhances corporate governance by improving internal control systems, strengthening risk management practices, increasing regulatory compliance, reducing fraud risks, and promoting organizational transparency and accountability. Furthermore, the study reveals that strong collaboration between internal auditors, management, and audit committees contributes to better governance practices and improved organizational performance.  internal audit effectiveness is a critical determinant of sound corporate governance and long-term organizational sustainability. valuable insights for corporate leaders, policymakers, regulators, and accounting professionals seeking to strengthen governance frameworks through effective internal auditing practices.
